Indigo GSM

MCT Investors (MCTI) was founded in 1987 to develop and finance promising projects in the field of communications, healthcare and other business areas. These directions allowed to use the accumulated experience of its founders and management.

The MCTI leadership established Charisma Communications Corporation in 1982, which became the winner of numerous licensing contests of the Federal Communications Commission (FCC) and the main operator of eleven of the ninety largest mobile phone companies in the United States. In 1986-87 This corporation was sold to the company, after which it merged with AT & T , and later with another company / mobile service provider.

In addition to MCT Corp., among other MCTI telecommunications projects was the establishment of American Telecasting, Inc. and WJG Maritel Corporation.

Created by MCTI in 1987, ATEL developed and operated wireless cable television systems and provided high-speed Internet access as one of the largest operators in the United States. The company has been a leader in developing wireless broadband services. The company provides wireless communications services on radio relay frequencies licensed by the FCC .

In 1993, ATEL shares were launched onto the market and the company began to be quoted in the National Association of Exchange Dealers. In 1999, ATEL was acquired by Sprint Corporation (FON trademark) for $ 475 million. Sprint has announced its intention to use wireless communications to provide high-speed data, voice, Internet access and video conferencing services through Sprint ION.

WJG Maritel Corporation (MariTEL) is a leader in providing commercial and recreational HF maritime wireless communications services in the United States. The company is currently operating analog transmission systems serving mainly coastal areas, however, it is currently developing a digital network adopted by the FCC . In December 1998, MariTEL became the successful owner of all 9 new regional licenses of the FCC , sold at auction, for the right to provide maritime communications services. These licenses, together with those received earlier, entitle MariTEL to serve wireless maritime and land mobile communications throughout the United States coast and waterways.

In 1999, MariTEL announced agreements with American Tower Corporation (AMT) for the construction of about 300 networked mast devices, and with Harris Corporation (HRS) for the development of the necessary software and hardware for the deployment of a digital network. AMT is also a strategic investor in MariTEL. MariTEL was founded by Mr. Deprist in 1988.

Russia

The first joint ventures of the MST were established and began to work in Russia. The established MST, Uraltel (Yekaterinburg) and Sibintertelecom (Chita) were founded in 1993. They received licenses for work in the GSM standard in 1995 and began commercial operation of the networks in 1997.

In September 2000, MST completed the acquisition of a controlling stake in RTDC Holdings, Inc. (“RTDC”), a subsidiary of MediaOne International, the shareholder of eight Russian cellular operators, also providing local and long-distance services in their regions. RTDC enterprises began to work in 1990 thanks to the efforts of the American company US West International ("US West"). US West was one of the first telecommunications companies to initiate investment processes and launch the first cellular companies in Russia. The first major project was Delta Telecom , founded in 1990, and in December 1991, MCC was established. Later, licenses for the provision of cellular services were prioritized and, accordingly, companies were established in major regional centers of Russia: Nizhny Novgorod, Yekaterinburg and Rostov-on-Don. Subsequently, in 2002, MST sold the shares in RTDC.

In December 2000, MST completed the acquisition of Vostok Mobile, a Russian subsidiary of Golden Telecom Inc. ^[1] Vostok Mobile was founded in 1994 and managed the activities of fourteen Russian mobile operators. These joint ventures received licenses for the provision of cellular services in thirteen Russian regions and launched networks into commercial operation from April 1995 (Lipetsk) to June 1998 (Novgorod the Great).

In May 2001, MST presented the national brand “Indigo” in order to unite their enterprises under a single trademark, while retaining the old company names for historical continuity ^[2] .

In 2002, RTK-Leasing bought from the American AT & T shares of nine mobile operators united into the RTDC holding. AT & T has exposed RTDC Holdings, Inc. to open bidding after MTC Corp. overdue payments on a previously concluded transaction ^{[3] [4]} .

In August 2003, the MST sold its shares in five Russian cellular operators with a subscriber base of more than 300 thousand people ^[5] .

In 2004, the Indigo Group of cellular communication companies offered 66 regional companies to reduce roaming prices in order to counter the success in the regions of the Big Three operators MTS, Bee Line and MegaFon. And in the future, and unite into a single structure ^[6] .

In November 2004, MST sold the shares of its Siberian operator Sibintertelecom, whose subscriber base exceeded 100 thousand people to Mobile TeleSystems ^[7] .

In December 2004, MST sold the shares of its Voronezh operator Votek Mobile , which owns the GSM-1800 license, to Tele2 ^[8] .

In February 2005, MST sold the shares of its operator Altaisvyaz, whose subscriber base exceeded 38 thousand people, to Yeniseytelecom .

In November 2005, MST sold the shares of its operator Lipetsk Mobile, which has a GSM-1800 license and a test fragment of the GSM network, to Tele2.

In February 2006, MST sold the shares of three Volga operators - Chuvashia Mobile, Penza Mobile and Saratov Mobile to a financial investor ^[9] .

In July 2006, MST sold the shares of four enterprises in north-west Russia — Arkhangelsk Mobile Networks, Murmansk Mobile Network, Novgorod Telecommunications and Parma Mobile — to Tele2 ^{[10] [11]} .

In July 2007, the Swedish-Finnish telecommunications company TeliaSonera acquires the American MCT. The company has reached an agreement to acquire up to 100% of all issued ordinary shares of MCT ^{[12] [13]} .

Throughout its history, MST has managed twenty-nine joint ventures in Russia, participating in all stages of their development: establishing a company, planning a network, deploying it, increasing the subscriber base and managing the company.

Central Asia

In Central Asia, MST oversaw the activities of mobile operators that have licenses to provide services in Uzbekistan, Tajikistan and Afghanistan. MST was the first company to provide GSM standard services in Central Asia and the first GSM operator in Uzbekistan and Tajikistan.

MST is the founder of each of its joint ventures in Central Asia:

• Koscom was established in 1996 and began commercial operation of the network in 1997.
• Somoncom was founded in 1998 and began providing cellular services in March 2000.
• Indigo Tajikistan was established in 2001 and launched the network into commercial operation in 2002.
• Roshan was founded in 2002 and began providing services in July 2003.

Three of the four MST joint ventures in Central Asia: Indigo-Tajikistan, Somoncom and Roshan — operate and develop with the assistance of the Aga Khan Foundation for Economic Development.

In 2007, MCT Corp. was joined to the holding Fintur Holdings BV, the controlling shareholder of which is the Scandinavian operator TeliaSonera ^[14] .

• Donald R. Deprist - Chairman of the Board of Directors.

Mr. Deprist has extensive experience as an entrepreneur and investor in the telecommunications industry. He founded Charisma Communications Corporation (with the help of its predecessors and subsidiaries, Charisma) in 1982, working as chairman of the board and president until enterprises were sold in 1986 and 1987. Charisma developed and operated eleven mobile communication systems in the southeastern United States. Mr. Deprist formed MCT Investors, LP (MCTI) in 1987 to develop telecommunications and medical companies, starting work as President of a full partnership. He has served as director of several MCTI portfolio companies, as well as chairman of American Telecasting, Inc. ("ATEL"), which was sold to Sprint in 1999. MCT Business Corp. emerged as an operating company as a result of separation from MSTI in 1995. Mr. Deprist founded the Boundary Healthcare Products Corporation (“Boundary”) in 1987 to make a buyout with partial borrowing from the Boundary Kendall Company, working as chairman of the board before selling Maxim Medical, Inc., in 1992. (NYSE symbol MAM) He worked as a director of IAM during its privatization in 1999.

Mr. Deprist owns medium and small radio stations in the southeastern United States. He is the main shareholder and chairman of the board of American Nonwovens Corporation and its subsidiaries, manufacturers of non-woven textile products.

• Lusis I. Bech, III - member of the Board of Directors.

Mr. Böch has served as a consultant or director of the MST since June 1999. He is the Chairman and Chief Executive Officer of Burch Investment Group, Inc., the former Massey Burch Investment Group. After working as a commercial banker at Morgan Guaranty Trust Co. in New York, in 1968, he joined Massey Investment Company, the successor of which was Massey Burch Investment Group, as a financial analyst and portfolio manager. His many years of investment experience include management consulting, corporate finance, mergers and acquisitions. He has served on several state and private boards of directors, including seven (7) companies of the New York Stock Exchange. Massey Burch Investment Group was also a major shareholder and was represented on the Board of Directors of Charisma Communications Corporation.

• Frank L. Harvel - Member of the Board of Directors.

Mr. Harvel has been working as a consultant or director of MST since June 1999. Earlier, Mr. Harvel worked as a banker and banking consultant. He advised senior management at major US banking institutions on capital structures and equity issues, mergers and acquisitions, and investment banking relationships. He has held various management positions at First Union and Chase Manhattan Bank, including the position of Director of Investment Relations.

• Stuart P. Reich - Member of the Board of Directors.

Mr. Reich was appointed to the MST Board of Directors in December 2000. He has been President, Chief Executive Officer and Director of Golden Telecom since June 1999. Prior to working at Golden Telecom, he worked at GTS as President / GTS-CIS from September 1997 to September 1999. Prior to joining GTS, Mr. Reich worked for 34 years at AT & T. From September 1992 to August 1997, he served as President of Utel , a joint venture of AT & T , Deutsche Telekom , (Netherlands) and Ukrtelecom , a Ukrainian company providing international and long-distance services in Ukraine.

• Peter G. Schiff is a member of the Board of Directors.

Mr. Schiff has been working as a director since March 2000. He is president of Northwood Ventures, founded in 1993. Prior to founding Northwood Ventures in 1983, he worked in the venture capital department of EM Warburg, Pincus & Co., and was previously an official in the corporate division of Chemical Bank (now known as Chase Manhattan Bank ). Mr. Schiff holds the position of director in many state-owned Nordwood companies. He is also the custodian of Lake Forest College, the Brooks School and the New York Racing Association, as well as a member of the Board of Consultants for the Wildlife Conservation Society. Mr. Sheep is a graduate of Lake Forest College and has an MBA degree from the University of Chicago School of Business.

• Robert J. Schultz - Member of the Board of Directors.

Mr. Schulz has been working as a consultant or director of MST since June 1999. He held senior management positions at General Motors Corporation (GM) and its branches of electronic and aviation products, GM Hughes Electronics (GM Hughes) until his departure in 1993. He served as vice president of General Motors and chairman and chief executive officer of GM Hughes from 1990 to 1993. From 1984 to 1989, he held various senior positions at GM and from 1981 to 1984, he served as the General Manager of the General Motors Delco Electronics Division. He is currently a member of the Board of Trustees of the California Institute of Technology , the Board of Directors of OEA, Inc., a supplier of aviation and automotive products, the Board of Directors of Delco Remy International, a state-owned electronics manufacturer OEM for the automotive industry.

US Guide

• Richard F. Cini - President and Chief Executive Officer, Chairman of the Board of Directors of Russia.

Mr. Sini has managed MST since its inception in 1992. His experience in the mobile industry began with Charisma Communications in 1985. He served as Executive Vice President and Chief Financial Officer until the sale of its enterprises in 1986 and 1987. He founded MSTI together with Mr. Deprist in 1987, working as Vice President and General Manager of a full partnership. His experience at MSTI included a number of fast-growing companies in the telecommunications sector. He has served as Vice President of the Board of Directors of ATEL and Director of other portfolio companies MSTI.

Mr. Sini has worked with developing companies at Arthur Andersen & Co. (office in Washington, DC) from 1976 to 1985. He graduated from the University of Virginia in 1976.

• James M. Vedder is Director of Financial Operations and Reporting.

Mr. Vedder has been working at MST since April 2001, previously he worked as Financial Director at Invensys Software Systems and Reporting Manager at Global TeleSystems Group Inc., where he headed the IPO of Golden Telecom . From 1995 to June 1999, Mr. Vedder worked as a senior employee at PricewaterhouseCoopers , participating in initial public offerings of offers, financing, mergers and acquisitions, and venture capital financing. Mr. Vedder holds two BSc degrees in Accounting and Finance from Indiana University of Pennsylvania .

• Kenneth I. Whittington - Vice President / CTO.

Mr. Whittington has been in this position since 1994. • Людмила Ф. Кульчицкая — директор по администрации и кадрам — Россия.

Г-жа Кульчицкая работает в RTDMC/MediaOne International/US West International с 1991 года, когда US West International основала свои предприятия в России. До работы в US West International г-жа Кульчицкая работала в Министерстве связи СССР , Управлении внешних связей.

• Виктор Леончиков — вице-Президент по техническим вопросам — Россия.

Г-н Леончиков работает в настоящей должности с мая 2001 года, до этого он работал в качестве Директора по реализации и развитию проектов в компании Ukraine Mobile Communications (UMC), самой крупной компании сотовой связи на Украине, руководя переходом систем стандарта NMT на стандарт GSM , а также развивая и реализуя новые технологии и услуги. С 1995 года по 1996 г-н Леончиков занимал директорские позиции по маркетингу и продажам после увольнения из вооруженных сил в 1993 году. Г-н Леончиков получил степень Доктора технических наук по специальности «Инжиниринг связи» в 1984 году в Военной академии связи г. Санкт-Петербурга.

• Сергей Ю. Медведков — cтарший вице-президент по операциям и связям с госорганизациями/Директор МСТ по связям с госорганизациями — Россия.

Г-н Медведков работает в RTDC с марта 1994 года. До RTDC он работал в качестве главы Департамента исследований и информации Центрального Банка России , а ранее как Руководитель экспертной группы при Председателе Центрального Банка (1991—1992).

Его предыдущая карьера была связана с Российской Академией Наук , где он занимался исследованиями в области международного бизнеса и консультировал Правительство и корпоративных клиентов. Г-н Медведков написал множество публикаций по стратегии многонациональных корпораций.

• Младен Пейнович — старший вице-президент по эксплуатации предприятий — Россия.

Г-н Пейнович занимал аналогичные должности в Golden Telecom и её предприятиях с апреля 1997 года. Ранее он работал специалистом по продажам и маркетингу в Millicom в России. С 1990 по 1995 год г-н Пейнович был директором московского офиса Astra International , международной торговой компании, представляющей компанию по производству оборудования связи , которую впоследствии купила компания Ericsson . До работы в России Младен Пейнович был Заместителем генерального директора «Zagreb Fair» и Генеральным директором «Hospitalia» (торговая компания) в Загребе.

Г-н Сэлф работает в МСТ с марта 2000 года, и в качестве Президента и Главного управляющего RTDC с октября 2000 года. последние 8 лет активно занимается инвестициями и управлением в телекоммуникационном секторе в бывшем Советском Союзе.

До МСТ г-н Сэлф осуществлял собственные инвестиции, в основном, в телекоммуникации, в компании в бывшем Советском Союзе. Г-н Филатов работал Коммерческим директором Golden Telecom Mobile Services в Москве с марта 1999. Ранее г-н Филатов работал директором по продажам и маркетингу в UMC , операторе мобильной связи на Украине, а также консультантом международного импортера и грузоперевозчика. С 1994 по 1997 год г-н Филатов был Генеральным директором в двух подразделениях Oakland Marketing, совместном предприятии Великобритании — СНГ.

• Мариян Црняк — исполнительный вице-президент по стратегическому планированию — Россия/вице-президент МСТ по региональной стратегии.

Г-н Црняк работает в различных должностях в RTDC с 1993 года. В 2000 году после приобретения RTDC компанией МСТ, он получил должность в МСТ. До работы в РТДК г-н Црняк был Президентом и Главным исполнительным лицом в компании в Хорватии, после того как проработал в данной компании на многих высоких должностях, начав свою карьеру в качестве конструктора телекоммуникационного оборудования в 1966 году.

Г-н Црняк закончил университет в Загребе по специальности телекоммуникационного инженера и в 1975 году получил степень Магистра в области телекоммуникаций. В 1974 году он получил степень МВА в Университете в Делфте .
