JSC "Independent Registrar Company" (NRC) is the registrar , a professional participant in the securities market . History
JSC Independent Registrar Company has been operating in the Russian securities market since 1996, when it was founded under the brand of National Registration Company CJSC (NRK CJSC). From 2003 to mid-2015, the company was the only professional registry holder in Russia with foreign capital [6] . Its main shareholder was the international group Computershare . In 2010, CJSC “NRK” was renamed “Computershare Registrar” [7] . The company pursued an active policy of acquiring other leading Russian registrars. So, in 2013, the registry keeping business of CJSC Single Registrar was acquired [8] , and in 2014, Registrar NIKoil [9] [10] was added to Computershare Registrar. In October 2015, a rebranding of the company was carried out - a new JSC “Independent Registrar Company” (JSC “NRC”).
Changing shareholders
In July 2015, Computershare decided to leave Russia, selling its business to a group of independent Russian investors [11] . If earlier the company belonged to the same owner, then since July 2015, none of the shareholders has owned a controlling stake in the company, with 50% of the shares owned by 2 participants of the Russian stock market, including 25% - to an accredited registrar market specialist [12] .
Activity
An independent registrar company provides a range of services in the field of maintaining and storing registers of shareholders of issuers , maintaining a register of mortgage participation certificates (MIS), and specialized registrar services. The registrar also accompanies various corporate actions ( meetings of shareholders [1] , repurchases of securities, reorganization, etc.), payment of dividends to customers' shareholders and provides services in the field of corporate consulting .
