Association of Independent Directors (IDA) is a professional association of independent corporate directors established in 2002. The Association declares its mission to assist Russian joint-stock companies in increasing the value of business by introducing best practices of the board of directors and corporate governance , as well as through the formation and support of professional and ethical standards for directors [1] [2] [3] [4] .

The association operates in Russia and parts of the CIS countries [1] . It includes more than 600 members of the boards of directors and top managers of private and state-owned companies, including MTS , Russian Railways , VTB , Sibur , ALROSA , Uralkali , Polymetal and others [4] .
Together with the Russian Union of Industrialists and Entrepreneurs (RSPP) and in partnership with Pricewaterhouse Coopers (PwC), annual ratings of 50 independent directors, 25 chairmen of the board of directors, 25 corporate governance directors are compiled, and together with the (IoD) The Association implements the generally recognized [5] international certification program for board members of IoD Chartered Director [4] . In the framework of cooperation with the Federal Property Management Agency [6], more than 100 members of the IDA are elected annually to the boards of directors of companies with state participation [4] .
Content
Association Objectives
In the Charter of the Association of Independent Directors [7], she states the following main objectives:
- Form and develop the institution of independent directors in Russia;
- To play a leading role in the development and promotion of the best international standards of corporate governance and the practice of independent directors in Russia;
- To formulate and maintain ethical and professional standards for the activities of independent directors;
- To provide conditions for professional growth of corporate directors through training and direct exchange of experience;
- Conduct research and provide information support to boards of directors and their members;
- Raise awareness among shareholders and the business community about the role of independent directors and their professional activities in the company;
- Take part in international projects for the development of corporate governance.
Activities
IDA organizes training programs aimed at professional development of directors, participates in the development of methodological materials and standards aimed at improving the quality of work of boards of directors, participates in research projects of partners - IFC , OECD , PwC and others, as well as conducts its own research related to the topic corporate governance. IDA supports the work of its members on boards of directors. A Corporate Development Center has been created under the Association, which provides advisory services on corporate governance issues. IDA provides an opportunity for members of a professional association in an informal setting of open and closed meetings of the “Club of Directors” to discuss relevant professional topics [8] .
Director Professional Development
The Association conducts training programs and specialized seminars for the professional development of board members and senior management of companies [9] :
- IoD Chartered Director Program (in collaboration with the Institute of Directors, , IoD ). After passing the exams, program participants are assigned the highest international qualification of a member of the board of directors - “confirmed director”, which is an indicator of high professional competence, knowledge, skills and experience for effective work on the board of directors and the ability to solve complex business development problems [5] .
- The professional development program “Independent Director” with the award of a state-issued diploma is carried out jointly with the Higher School of Public Administration of Moscow State University [10] ;
- Special training seminars to improve corporate governance practices and increase the efficiency of directors and boards of directors.
Information Activities
The Association is the organizer and information partner of forums, conferences, seminars and round tables that touch on corporate governance and the work of boards of directors. She regularly holds master classes with leading experts, creating a platform for discussion and exchange of experience. Carries out publishing projects, issuing periodicals and book publications: the quarterly journal Independent Director and the annual book publishing, summarizing the experience of Russian companies in the field of corporate governance [8]
Together with the Russian Union of Industrialists and Entrepreneurs and with the support of PwC, the Association organizes the annual Director of the Year Award, designed to acknowledge directors' personal contributions to corporate governance in Russia [11] , and also compiles annual ratings of directors, chairmen of boards of directors and corporate governance directors / corporate secretaries [4] .

- Alexander Ikonnikov - Chairman of the Supervisory Board of Directors of the IDA. Member of the Expert Council on Corporate Governance and the Committee for the Interpretation of the provisions of the Corporate Governance Code under the Bank of Russia.
- Igor Evgenievich Rozanov - Executive Director of the IDA. He has extensive managerial experience as a top manager of the Scandinavian company Baltika Group , is a member of the Federal Property Management Committee on the selection of professional directors for work in companies with state participation [10] .
- Supervisory Board
The Supervisory Board of the IDA determines the strategic directions of the Association's development, approves its financial plan and budget, and evaluates the work of the executive apparatus. To address key strategic management issues, it meets six times a year (once every two months) [12] .
Director of the Year Award
The award was established by the Association of Independent Directors in 2006 with the support of PricewaterhouseCoopers [13] . It is awarded to specific people for their personal contribution to the development of the corporate governance system [13] . The award was presented in the nominations “Independent Director”, “Chairman of the Board of Directors” and “Director for Corporate Governance”. Subsequently, they were expanded and in 2013 the prize was awarded in the nominations [14] :
