Rompetrol

Rompetrol is a trademark of KMG International NV (formerly The Rompetrol Group NV) - an international oil company, 100% of which is owned by Kazakhstan national oil company KazMunayGas . Today, the KMG International group of companies operates in the oil refining sector, the sale of petroleum products, and the provision of industrial services in 12 countries. The main activity of the company is concentrated in the Black Sea region, in particular in Romania, where the company owns two oil refineries: the Petromidia refinery and the Vega refinery. The company's retail network operating under the Rompetrol brand includes more than 1,100 fuel distribution points in Romania, Georgia, Bulgaria, Moldova, and under the Dyneff brand in France and Spain. The company also carries out exploration, provides industrial services in the field of EPC and maintenance of boreholes.

History

In 1974, Rompetrol SA , the operator of the Romanian oil industry , was established. In 1993, Rompetrol was privatized by the company’s team, and its turnover decreased to below $ 6 million. In 1998, Dinu Patriciu and a group of local investors acquired a controlling stake in the company and increased its capital, ensuring a significant increase in turnover.

In 1999, the stabilization process was completed, and the company took the first steps in international development. The Rompetrol Group NV was created and the group was registered in the Netherlands .

In the same year, the company made a significant acquisition - the Vega oil refinery , located in the city of Ploiesti , only within 9 months from the date of acquisition, the refinery’s income tripled. Today, the Vega refinery, having a century of experience in the field of oil refining, has evolved from a classic oil refinery to the only manufacturer and supplier of special products and solutions in the country, such as environmental solvents, special-purpose bitumen, ecological fuel for heating, and other special products .

In 2000, The Rompetrol Group acquired Petros, Romania’s largest operator of well services in oil fields. Petros was later renamed Rompetrol Well Services SA to match the unified name of the group of companies. Today, the company is one of the leading companies in the core Romanian market, offering a wide range of services for oil and gas wells, including cementing, strengthening and sand control, stimulation of inflows during well testing, wireline work, and casing stringing. The company also operates in several countries in Eastern Europe and Central Asia. In addition, RWS controls all ongoing projects from its headquarters in Romania in Ploiesti, providing technical support to 13 sites in Romania, Kazakhstan and Bulgaria.

 
Oil refinery Petromidia

In 2001, the group made its main acquisition - the Petromidia refinery . Subsequently, the plant became part of Rompetrol Rafinare SA

In the same year, Rominserv SA was established, which became the country's first engineering and construction company in the oil and gas industry. The recent technological success of the company was the Petromidia refinery modernization program. The project, which started in 2007 and ended in 2013, was intended to increase the processing capacity of the plant to 5 million tons per year, improve product quality to Euro-5 standard, and improve the level of safety in accordance with environmental requirements and labor safety rules on the platform.

Also, in October 2001, in connection with the adoption by the group of European environmental safety standards, Ecomaster was founded, becoming the first company in Romania to provide environmental services.

In 2002, under the management of the Rompetrol Petrochemicals company, the petrochemical industry was resumed at the Petromidia plant. Rompetrol Petrochemicals, part of Rompetrol Rafinare SA , is one of the most dynamic and innovative olefin manufacturing and marketing companies in Romania. This company is the only producer of polypropylene and polyethylene in Romania, over time also increasing its share in the secondary market.

In 2002, branches were opened in Moldova (Rompetrol Moldova) and Bulgaria (Rompetrol Bulgaria), where by 2013, the group owned 59 gas stations + a large oil storage in Chisinau, and 63 gas stations, respectively.

From 2002 to 2004 Austrian company OMV Aktiengeselschaft owned a 25.1% stake in The Rompetrol Group.

In 2003, Rompetrol implemented a comprehensive program to expand the network of gas stations in Romania. As part of the company's strategy, quality standards were unified throughout the network of gas stations. To expand the network and facilitate the distribution of fuel, Rompetrol has created a network of oil storage facilities in a number of regions of the country ( Arad , Craiova , Simleu-Silvanie , Zernesti , Vatra Dornei , Constanta , Mogoshaya ).

In 2004, Rompetrol Rafinare SA was listed on the Bucharest Stock Exchange (BVB).

In the same year, the Control Center, a process automation project worth $ 33 million, began to operate at the plant.

Also in 2004, a subsidiary in Switzerland , KazMunayGas Trading AG (formerly Vector Energy AG), specializing in oil and petroleum products trading, was founded. KazMunayGas Trading AG is the only operator in the supply of crude oil to the Petromidia refinery, where 90% of the oil comes from the fields of the national company KazMunayGas. The company also manages petroleum product inventories at refineries and retail units, as well as streamlining fuel sales operations both to companies within the Group, to Bulgaria, Moldova, Georgia, Ukraine, France and Spain, and to external customers in the Black Sea region.

In 2005, the head office of The Rompetrol Group NV in the Netherlands acquired a 100% stake in France's largest independent petroleum distributor, the Dyneff Group , which operates in France and Spain . Today it is a leading company in the Languedoc-Roussillon region, and its latest indicators: • 2.600.000 m³ of oil products supplied to the market every year; • 135 gas stations; • 9 retail agencies in France and 1 in Spain; • 2 wholesale agencies - in France (Montpellier) and Spain (Girona); • 3,200 tanks for storing petroleum products at customers' work sites; • 40 points of loading of petroleum products supplied by sea or land, as well as through a network of oil pipelines; • 90 units of car tanks (owned and leased by the company) certified according to ISO 9001 and fully compliant with ADR.

In the same year, the group began operations in Albania and Georgia and opened a representative office in Moscow , which was subsequently closed (2012). Rompetrol Georgia - currently coordinates the distribution network of 65 gas stations. The network includes Rompetrol gas stations. In addition to the retail network of gas stations, the company carries out wholesale activities through a depot in the port of Batumi and Tbilisi. The latter has a capacity of 9550 tons.

Rompetrol Ukraine was founded in 2006 and specializes mainly in wholesale and retail trading. At the same time, the company has become one of the largest importers of petroleum products supplied exclusively from the Petromidia Refinery, which is the closest oil refinery from the Ukrainian Black Sea coast. Trading activities are carried out through the Kherson terminal located on the Black Sea, one terminal located near the city of Izmail, on the Danube River, as well as through three oil depots located in Odessa and Vinnitsa regions.

In 2007, the first 75% stake in The Rompetrol Group was acquired by the Kazakh National Oil and Gas Company National Company KazMunayGas [1] [2] . Thanks to this transaction, KazMunayGas gained access to two oil refineries and a large distribution network for the distribution of petroleum products [3] .

Around the same time, The Rompetrol Group began work on a comprehensive modernization of the Petromidia refinery, completed in 2013. According to the results of the work carried out at the plant, Petromidia Refinery is one of the most technologically advanced, state-of-the-art refineries in the region that meets European standards for safety and environmental protection and produces a variety of Euro-5 fuel.

In autumn 2008, Rompetrol and KazMunayGas opened the Media Marine Terminal for crude oil in the Black Sea port of Midia. Built Buoy - a floating offshore oil terminal is located 8.7 km from the Black Sea coastline next to the Petromidia refinery. The terminal can accept crude oil tankers with a maximum carrying capacity of 160,000 tons, Suezmax class. The maximum transportation volume for the project amounted to 24 million tons of crude oil per year. At the end of the project, the vessels unload oil using floating discharge systems through subsea and surface pipes connected to the fleet of crude oil tanks and to the Petromidia refinery. The project compared to the route through the port of Constanta reduced the length of the pipeline between the tanker and the refinery by 33 km, and also reduced costs by about $ 7 per ton [2] .

Media Marine Terminal operates the group’s marine terminal, as well as Berths No. 1-4 (for oil transit) and Berths No. 9-9A, 9B and 9B (for oil products transit) in the port of Midia. The marine terminal is one of the most important projects for the development of the Group's trading activities. The company modernized and increased Berth No. 9, adding 3 new terminals, 9A, 9B and 9B, to triple the volume of transit of finished products of refineries, up to 350,000 tons per month.

Dredging was also carried out in the area of ​​all 7 berths of the Rompetrol Group in the port of Midia, allowing the mooring of vessels with a capacity of more than 10,000 tons of deadweight * and barges with a gross tonnage of 2,000 tons. “Midia Marine Terminal” ensures the presence of JSC NC “KazMunayGas” and “Rompetrol” companies in a geographical arc connecting the countries of the Caspian Sea (Kazakhstan, Georgia) and the Black Sea (Ukraine, Moldova, Romania, Bulgaria) with countries of Western Europe (France and Spain) .

In June 2009, KazMunayGas National Company completed the acquisition of a 25% stake in The Rompetrol Group NV, previously owned by Rompetrol Holding S.A., as a result of this transaction, KazMunayGas became the 100% owner of TRG shares [4] .

In 2010, the Group's Corporate Center was created - KMG Rompetrol SRL (formerly The Rompetrol Group Corporate Center SRL), which is the new face of the group’s management company, created to visually highlight the group’s parent company - its sole shareholder - NK JSC KazMunayGas ”, one of the largest oil companies in the Eurasian-Euro-Asian region. The coordination of all activities of the group is carried out through the Corporate Center located in Bucharest, Romania.

TRG Petrol AS - in 2011, a branch of the group was opened in Turkey, with the aim of expanding its activities and entering new markets with great potential. The branch is engaged in the development of trade and wholesale operations, while the company also plans to develop the retail segment, depending on market opportunities.

In 2014, by decision of the Board of Directors, the group was renamed KMG International NV . The Rompetrol Group changes its name to KazMunayGas International

Profit

In 2017, according to the audited financial statements, the company recorded record financial and operational results for key performance indicators for the 40-year history of existence, as well as for the 10-year period of integration into the national oil and gas company KazMunayGas JSC. During the reporting period, the group recorded operating profit of $ 242 million, and net profit amounted to $ 80 million, which represents an improvement with a negative result of $ 208 million in 2012 [5] .
