History
The history of the company dates back to 1967 , when a cannery of the USSR Ministry of Fruit and Vegetable Farming was built in the city of Lebedyan, Lipetsk Region . In 1992, the plant was transformed into a joint stock company.
In 2001, Lebedyansky acquired a stake in OJSC Progress, a Lipetsk plant producing juices and baby food under the brands Malysham and Hello. In 2005, the Progress began production of the Lipetsk pump-room mineral water. In 2007, Lebedyansky became the owner of a 100% stake in Progress [1] .
In November 2006, Lebedyansky began to build a plant in Berdsk . It was assumed that the new production will reduce the cost of production for the Siberian region [2] .
In 2007, the company's revenue under IFRS amounted to $ 944.8 million (in 2006 - $ 694.388 million), net profit - $ 79.2 million ($ 85.48 million) [3] . The revenue of the Soki business in 2007 was about $ 800 million, the revenue of the Baby Food business was $ 123.8 million, and Mineral Water was $ 18 million [4] . The share of Lebedyansky juices in the Russian market amounted to 30.2% [5] .
In 2007, negotiations began on the sale of the Lebedyansky juice business to PepsiCo , which occupied 1.7% of the market with its brand Tropicana [5] . On March 20, 2008, PepsiCo and Pepsi Bottling Group acquired a 75.53% stake in Lebedyansky for $ 1.4 billion. Under the terms of the deal, the company was split up: PepsiCo went over the production of juices and the production of juices, and the production of baby food and mineral water in Lipetsk allocated to a separate company [6] .
At the end of 2008, the construction of a plant in Berdsk was stopped, since shortly before the purchase of Lebedyansky, PepsiCo had already acquired a small juice factory in Novosibirsk . In the spring of 2009, another Lebedyansky production facility, the Troy-Ultra factory in St. Petersburg, was stopped and converted into a warehouse and representative office. According to analysts, these steps are explained by a reduction in juice consumption [2] .
In April 2017, a major accident occurred at the plant: the factory warehouse collapsed, as a result of which several tons of juice spilled [7] .
Owners and management
In March 2005, Lebedyansky held an IPO in Russia, selling a 19.9% stake for $ 151 million. Until the spring of 2008, the main owners of the company were State Duma deputy Nikolai Bortsov (30% of the shares), his son Yuri Bortsov (25.13%), Olga Belyavtseva (18.4%), Dmitry Fadeev (2%); 23% of the company's shares were in free float. Capitalization on the MICEX at the end of March 2008 - 40.6 billion rubles. [3]
Having bought back the shares of the main owners and obtained the consent of the Federal Antimonopoly Service [8] , PepsiCo proceeded to buy back the shares from minority shareholders. In the context of the financial crisis, the PepsiCo subsidiary Lebedyansky Holdings LLC offered minority shareholders attractive terms and almost all of them agreed to the offer [9] . In November 2009, Lebedyansky Holdings increased its stake to 100%, reducing its authorized capital by redeeming part of the placed ordinary shares [10] . As of December 31, 2010 OJSC Lebedyansky is wholly owned by LLC Lebedyansky Holdings [11] . On February 2, 2012, the company was transformed from Lebedyansky OJSC to Lebedyansky LLC.
