Geography of activity

The geography of VTB Group's activities along with the CIS countries covers the states of Western Europe, Asia and Africa. In the CIS countries, the Group is represented in Armenia, Ukraine, Belarus, Kazakhstan, Azerbaijan. VTB banks in Austria, Germany and France operate as part of the European sub-holding led by VTB Bank (Austria). In addition, the Group has subsidiaries and associates in the UK, Cyprus, Serbia, Georgia and Angola, as well as one VTB Bank branch in China and India, two VTB Capital plc branches in Singapore and Dubai.

History

1990 - with the participation of the State Bank of the RSFSR and the Ministry of Finance of the RSFSR, the Bank for Foreign Trade (Vneshtorgbank) was established. The Bank was created in the form of a closed joint-stock company to serve the foreign economic operations of Russia and to facilitate the country's integration into the world economy. October 17, 1990 was officially registered by the Bank of Russia.

1998 - was transformed into an open joint stock company, the largest shareholder of which is the state represented by the Central Bank of the Russian Federation with a 96.8% stake in the bank.

2002 - shares of the bank were transferred to the Ministry of Property of Russia.

2004 - VTB Bank acquires a controlling stake (85.81%) in KB Guta Bank. A specialized retail bank VTB 24 was created on its basis. It becomes the owner of Armsberbank in Armenia, which was later renamed to VTB Bank (Armenia).

2005 - becomes the owner of 75.5% +3 shares of OJSC Industrial-Construction Bank (PSB). VTB Bank North-West was created on the basis of PSB, then it was reorganized into the North-West Regional Center of VTB Bank. Acquires Eurobank in France, later renamed VTB Bank (France) SA. Acquires Moscow Narodny Bank Limited in the UK, later renamed VTB Europe Plc, then VTB Capital Plc. Acquires Ost-West Handelsbank AG in Germany, later renamed VTB Bank (Deutschland) AG. Acquires United Georgian Bank in Georgia (2005), later renamed VTB Bank (Georgia).

2006 - Vneshtorgbank and Vneshtorgbank 24 were renamed VTB and VTB-24. A subsidiary bank Bank VTB Africa SA is established in Angola. It becomes the owner of Mriya Bank in Ukraine, which was later merged with VTB Bank PJSC (unofficial name VTB Ukraine).

2007 - becomes the owner of Slavneftebank in Belarus, which was later renamed VTB Bank (Belarus). Sells the subsidiary bank Novosibirskvneshtorgbank (99.56% of the shares) to the East European Financial Corporation.

2008 - creates a subsidiary bank VTB Bank (Kazakhstan).

2009 - becomes the owner of AF-Bank in Azerbaijan, which was later renamed to VTB Bank (Azerbaijan).

2010 - acquired a stake in TransCreditBank OJSC (TKB) from Russian Railways in the amount of 43.18%.

2011 - brought its stake in Bank of Moscow to 94.84% of the shares.

2012 - acquired another stake in TransCreditBank OJSC (TKB) from Russian Railways , and the bank's share was 99.6%.

2013 - VTB conducted an additional issue of shares. The state did not participate in the SPO and its share in the bank after the subscription was closed fell to 60.9%. The bank raised 102.5 billion rubles in capital. The largest investors of the bank, who bought back more than half of its shares, were three sovereign funds - the Norwegian Norges Bank Investment Management, Qatar Holding LLC and the State Oil Fund of Azerbaijan, as well as the commercial bank China Construction Bank.

2016 - between VTB 24 and FSUE Russian Post a package of documents was signed on the establishment of Post Bank. 50% minus 1 share of the emerging Post Bank was acquired by FSUE Russian Post through its 100% subsidiary. The share in the capital of the Bank of Moscow is 100%.

Group Spheres

VTB Group operates in the areas of corporate investment and retail banking. As part of the corporate investment banking business, the group provides such services and products as lending, foreign trade transactions, syndicated loans, deposits and settlement services, underwriting in the debt and equity capital markets, project financing , financing of mergers and acquisitions, consulting services, depository maintenance, asset management and venture capital funds. In the retail banking business, VTB offers its customers deposits and settlement accounts, loans, as well as a number of additional services [1] for individuals and small businesses.

The Group is actively developing its non-banking financial business: leasing , factoring , insurance, and retirement benefits. VTB subsidiaries are leaders in their respective segments.

Group Statistics

At the end of 2015, VTB Group’s net profit under IFRS amounted to 1.7 billion rubles [2] . As of December 31, 2015, 96,167 employees worked in the group.
